Indra Group convenes an Extraordinary General Shareholders’ Meeting on November 28 to approve the acquisition of 89.68% of Hispasat

Indra Group has convened an Extraordinary General Shareholders’ Meeting, to be held in its second call at noon on November 28 at the group’s headquarters in Alcobendas, with the main purpose of submitting the acquisition of 89.68% of Hispasat’s share capital for the shareholders’ approval.

On January 31, 2025, Indra announced the signing of an agreement with Redeia to acquire 89.68% of Hispasat’s share capital. The operation was subject to the fulfillment, within the period set by the parties, of certain conditions precedent of an essentially regulatory nature in Spain and other jurisdictions, the implementation of certain agreements enabling Indra to consolidate Hisdesat in Indra Group’s accounts for accounting purposes, and the approval of Indra’s General Shareholders’ Meeting.

The second item on the agenda refers to the ratification, re-election, and appointing of directors, and includes the appointments of Mónica Espinosa and Arancha Díaz-Lladó as independent directors to cover the vacancies left by Coloma Armero and Olga San Jacinto, whose re-election has not been submitted to the meeting for the reasons set out in the legally required reports made available to the shareholders on Indra Group’s corporate website.

The re-election of Belén Amatriain, Virginia Arce, and Bernardo Villazán as independent directors, the ratification and re-election of Teresa Busto as an independent director, and the re-election of Juan Moscoso del Prado as the proprietary director representing SEPI have also been submitted for approval.

The composition of the Board of Directors resulting from these proposals maintains the proportions of the different categories of directors and the balanced presence of women and men.

Mónica Espinosa Caldas obtained a degree in Medicine and Surgery at the Universidad Autónoma de Madrid and an MBA at the IE, and completed the ENEL Leadership for Energy Executive Program at Harvard Business School, the Executive Program in Product Design Innovation at Stanford University, and the ESADE Director Program. She is currently an independent director and a member of the Audit, Risk and Sustainability Committee of Seguros Santalucía, and she sits on the Advisory Boards of FOQUM and McKinsey Alumni. She was previously an executive director at Enel Energía, Enel Servici Elettrico, and Sodea, and an independent director at Auqanex, S.A. and Amper, S.A. She has spent most of her career at Endesa, holding management positions related to strategy, business, and management in Iberia and Latin America. She has acquired experience in the field of strategic consulting at companies such as McKinsey and Accenture.

Arancha Díaz-Lladó Prado obtained a degree in Business Administration on the European Business Programme, and a master’s degree in Sustainable Development at the London School of Economics & Political Science, and she completed an Executive Program in General Management at ESADE. She is currently the director of Sustainability and a member of the Management Committee at Twinco Capital, the chair of the Sustainability, Technology and Innovation Committee, a member of the Audit and Compliance Committee, and a member of the Boards of Directors of CIRSA and ATAM. During her career she has held senior positions at Grupo Telefónica and acted as a consultant for various agencies of the United Nations, the European Commission and the Madrid Chamber of Commerce. In the academic and teaching field, she is a professor on the master’s degree course in Sustainability at the University of Navarre.
